ANNUAL GENERAL MEETING OF SHAREHOLDERS FOR FISCAL YEAR 2024
PT INDO AMERICAN SEAFOODS Tbk
It is hereby announced to the Shareholders of PT Indo American Seafoods Tbk (hereinafter referred to as the "Company") that the Company will convene the Annual General Meeting of Shareholders for Fiscal Year 2024 (hereinafter referred to as the "Meeting") in Jakarta on Thursday, June 5, 2025.
Shareholders entitled to attend or be represented at the Meeting are those whose names are recorded in the Company's Register of Shareholders and/or holders of the Company's shares in the securities sub-account of PT Kustodian Sentral Efek Indonesia (KSEI) at the close of trading of the Company's shares on the Indonesia Stock Exchange (IDX) on Friday, May 9, 2025.
Eligible Shareholders may grant attendance and voting proxies electronically using the e-Proxy feature available on the eASY.KSEI platform, accessible via https://akses.ksei.co.id, or through a manual proxy letter, which can be downloaded from the Company's website at www.indoamericanseafoods.com.
In accordance with the Company's Articles of Association and pursuant to the provisions of the Financial Services Authority Regulation of the Republic of Indonesia No. 15/POJK.04/2020 concerning the Planning and Organization of General Meetings of Shareholders of Public Companies ("POJK 15"), the Meeting Invitation will be issued on Wednesday, May 14, 2025, through the Company's website at www.indoamericanseafoods.com, the Indonesia Stock Exchange website at www.idx.co.id, and the eASY.KSEI platform accessible via https://akses.ksei.co.id.
Referring to Article 16 of POJK 15, one (1) or more shareholders representing at least 1/20 (one-twentieth) or more of the total voting shares may propose Meeting agenda items in writing to the Board of Directors no later than seven (7) days prior to the Meeting Invitation, which is on May 7, 2025. Such proposals must include the rationale and supporting materials and must comply with applicable laws and the Company's Articles of Association.
This announcement is made in both Indonesian and English. In case of interpretation discrepancies between the two versions, the Indonesian version shall prevail as the reference.
